Terms of Service

1. Definitions

"Statly" refers to the Chrome browser extension that analyzes publicly available content on the Supported Platforms, together with its optional companion features such as the Statly API, cloud sync, the AI-assistant connection, and transcription described in these Terms.

"User", "you", or "your" refers to any individual who installs or uses the Statly extension.

"Service" refers to all functionality provided by Statly, including analytics calculations, data export, the Statly API, cloud sync, the AI-assistant connection, transcription, subscription features, and related services.

"Supported Platforms" means Instagram (operated by Meta Platforms, Inc.), TikTok (operated by TikTok Inc. and its affiliates, including ByteDance Ltd.), X (operated by X Corp.), and Reddit (operated by Reddit, Inc.).

2. Description of the Service

Statly is two products, sold separately, and these Terms cover both.

The Chrome extension analyses publicly available content on Instagram, TikTok, X, and Reddit. When you scan a profile directly in your browser, the extension reads content already visible on those pages and performs analytics calculations locally on your device.

The web app at app.trystatly.com is a hosted service with its own subscription. You sign in with your email address and choose which public Instagram, TikTok and YouTube accounts to track; our servers then read those accounts' public short-form videos on a daily schedule and keep the results in your dashboards, watchlist, trend finder and library. It does not use your social-media accounts, ask for their credentials, or act on any platform on your behalf.

The two are separate purchases. A licence for the extension gives no access to the web app, and a web app subscription gives no access to the extension or to Pro features inside it. Nothing you buy in one is transferable to the other, and the two are not linked to one identity.

Statly may provide features such as:

• Content analysis for Instagram, TikTok, X, and Reddit
• Engagement and performance calculations
• Performance insights and visualizations
• Watchlist, folders, and tagging tools
• Trend Finder for grouped competitor and niche analysis
• Saved-posts library
• Transcription and video descriptions using your own Groq or OpenAI API key
• Data export tools (including CSV and spreadsheet export)
• An optional Statly API for triggering scans and retrieving analytics programmatically
• Optional cloud sync for Pro users, allowing certain content to be accessed across devices
• An optional connection that lets an AI assistant you authorise read your synced Statly data
• In the web app: daily server-side scanning of the public Instagram, TikTok and YouTube accounts you choose, with trend analysis, a watchlist, a saved library, CSV exports, and workspaces you can invite teammates into

Most analysis performed by Statly occurs locally on your device. Certain optional features process or store data on our infrastructure: the Statly API (Section 5A) queues the scans you request so that your own extension can carry them out, our licence-verification and free-tier rate-limiting systems transmit limited technical data, cloud sync (Section 5B) stores a copy of selected Pro-user content on our infrastructure so it can be accessed across devices, and the AI-assistant connection (Section 5C) passes your synced content to an assistant you authorise. Transcription (Section 5D) sends video audio directly from your browser to a third-party provider you choose.

3. Eligibility

You must be at least 16 years old to use Statly. By using the extension, you represent that:

• you are at least 16 years of age
• you have the legal capacity to enter into these Terms
• you will comply with all applicable laws and regulations

4. Relationship with the Supported Platforms

Statly is an independent tool and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. (Instagram), TikTok Inc. or ByteDance Ltd., X Corp., or Reddit, Inc. All trademarks, service marks, and platform names remain the property of their respective owners.

Users are responsible for ensuring that their use of Statly complies with the terms of service and policies of each Supported Platform they use it on. A Supported Platform may limit, slow, or temporarily block activity from your account or browser session at its own discretion; such limits are outside our control.

5. Subscription and Billing

Certain features of Statly require a paid subscription. Subscriptions may be offered on a monthly or yearly basis.

Payments are processed by Lemon Squeezy, which acts as the Merchant of Record for subscription transactions. Statly does not receive or store your payment card details.

5.1 What a web app plan includes

A web app plan is sold as two numbers, both stated on the pricing page at the time you buy: a shelf, being how many short-form videos inside your scan window the plan holds, and a profile cap, being how many public accounts you may track at once. Both are shared across every workspace in your account, and both are what you are paying for.

Two limits keep the service affordable for everyone, and you should know about them before you buy:

• Tracked accounts are scanned once a day, not continuously and not on demand. A daily allowance also applies to how many newly added accounts are scanned within minutes rather than at the next daily scan; the app tells you where you stand at the moment you add them.
• If the accounts you track post more than your shelf holds, nothing is switched off: we scale back how deep each account is fetched, newest posts first, so that a day's collection stays near the shelf you bought.

A free trial may be offered. It is offered once per email address, and we keep a one-way hash of that address to enforce it.

5.2 Teams

A plan belongs to the account that bought it. You may invite other people into your workspaces as viewers, editors or full members. You are responsible for who you invite and for what they do inside your account, and you accept that they can see the accounts you track, what you save, and the email addresses of other members of that workspace. Removing somebody from a workspace ends their access to it.

5A. Statly API

Statly includes an optional API, available to Pro users, that allows you to request profile scans and retrieve public analytics for the Supported Platforms programmatically, without operating the extension interface directly. When you submit a request, our endpoint queues it as a job; the scan is then carried out by your own Statly extension, in your own logged-in browser, which returns the results to the endpoint so they can be delivered to you. Jobs can only run while your browser is open with the extension installed.

Use of the API is entirely at your initiative. You are responsible for the requests you make through it, for keeping any credentials associated with your account secure, and for ensuring your use of the API complies with applicable laws, the terms and policies of the Supported Platforms, and these Terms. We may apply rate limits, technical safeguards, or other restrictions to the API to maintain service stability and prevent abuse.

5B. Cloud Sync

Statly offers an optional cloud sync feature to active Pro users. When enabled, it stores a copy of certain content (your watchlist accounts and their fetched analytics, your folders and tags, your Trend Finder niches and their results, your saved posts, your transcripts, and your transcription API key) on our infrastructure, keyed to your licence key, so the same content is available on every device where you have activated the same licence.

Cloud sync is enabled by default for Pro users and can be turned off at any time from the Settings tab. You are responsible for keeping your licence key confidential; anyone who activates the same licence key will be able to access the synced content. When a licence becomes inactive, sync operations associated with that licence will be refused. Synced content may be deleted at your request and may also be removed at our discretion after an extended period of licence inactivity, as described in the Privacy Policy.

Cloud sync is provided on a best-effort basis. While we take reasonable care to operate the service reliably, you should not treat the cloud copy as a guaranteed backup of your data; we recommend retaining important records independently.

5C. AI-Assistant Connection

Pro users may connect a third-party AI assistant (for example Claude or ChatGPT) to Statly through our MCP server. Once you authorise an assistant, it can read your synced content and ask your extension to transcribe posts you have already scanned; it cannot change or delete your data.

The assistant is provided by a third party under its own terms, and content it retrieves from Statly is processed by that provider. You are responsible for choosing which assistants to connect and for how you use their output. Any answer or summary an assistant produces is generated by that assistant, not by Statly, and may be inaccurate. You can ask us to revoke an assistant's access at any time.

5D. Transcription and Video Descriptions

Statly can transcribe the speech in videos and describe what they show, using an API key that you obtain from Groq or OpenAI and enter in the extension. When you use this feature, video audio and a few still frames are sent directly from your browser to that provider. Your use of the provider is governed by your own agreement with them, including any fees, usage limits, or file-size limits they apply; Statly does not charge separately for transcription and is not responsible for the provider's service, charges, or handling of the data you send.

Transcripts and descriptions are generated automatically and may contain errors. You are responsible for keeping your API key secure and for ensuring you have the right to transcribe the content you choose. If you are a Pro user with cloud sync enabled, your API key is synced to your other devices together with your other synced content. It is never shared with teammates who have a viewer key; they need their own key to use transcription.

6. Automatic Renewal

All subscriptions renew automatically at the end of each billing period unless cancelled. By purchasing a subscription, you authorize Lemon Squeezy to charge your payment method automatically for the renewal term unless you cancel before the renewal date.

7. Cancellation

You may cancel your subscription at any time through the Lemon Squeezy billing portal associated with your purchase. If you cancel:

• your subscription will remain active until the end of the current billing period
• you will not be charged for the next renewal period
• once the subscription ends, Pro-only features (including cloud sync) will become unavailable, although your locally-stored data is unaffected
• in the web app, scanning stops when the paid period ends. Your account, niches and saved Library are kept for 60 days so that resubscribing picks up where you left off; after that we may delete the workspace's contents. You can export everything on screen to CSV before you go, and you can delete everything yourself at once from Settings rather than waiting

8. Refund Policy

Subscriptions are non-refundable. If you face bugs or issues while using the platform, please reach out to our support team at info@trystatly.com so we can help you. We would far rather fix the problem than have you pay for something that is not working.

This is subject to applicable law. Because Lemon Squeezy acts as the Merchant of Record, refund requests may be processed in accordance with Lemon Squeezy's billing policies and applicable consumer protection laws.

Statutory consumer rights are not affected. If you are a consumer in the European Union or another jurisdiction granting a statutory right of withdrawal for digital purchases, that right applies as provided by law.

9. Acceptable Use

You agree not to use Statly to:

• violate any applicable law or regulation
• infringe the rights of third parties
• interfere with the operation of any Supported Platform or other service
• attempt to bypass service limitations
• exploit or abuse free-tier usage limits
• share, sell, or otherwise enable use of a licence key by parties not entitled to it (which would also expose synced content)
• distribute malware or malicious code
• use the extension in a manner intended to cause harm

You also agree not to:

• copy, reproduce, or redistribute Statly
• reverse engineer or attempt to extract the source code of the extension
• modify or create derivative works of the extension
• resell, sublicense, or commercially exploit the service without permission

10. Exported Data Responsibility

Statly may allow users to export analytics results or other data derived from publicly available content on the Supported Platforms, whether through the extension's export tools, the Statly API, the AI-assistant connection, or transcription. You are solely responsible for how you use any exported or retrieved data. You agree to ensure that your use of such data complies with applicable laws, the terms and policies of the Supported Platforms, and the rights of third parties.

11. Intellectual Property

Statly, including its software, design, features, and functionality, is the intellectual property of Miltiadis Themelis and is protected by applicable copyright and intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the extension for personal or business purposes. No ownership rights are transferred to you.

12. Service Availability and Platform Dependency

Statly depends on the functionality and availability of third-party platforms, including but not limited to the Supported Platforms, the transcription providers you choose to use, and the third-party data provider the web app relies on to read public Instagram content, as well as our own server-side infrastructure that powers licence verification, cloud sync, the optional API, the AI-assistant connection, and the web app's daily scans. Because these systems may change or experience interruptions:

• the structure, layout, or availability of any Supported Platform may change at any time
• a Supported Platform may rate-limit or temporarily restrict the activity of your account or browser session
• certain features may become temporarily unavailable or incompatible
• server-side features such as cloud sync may be temporarily unavailable due to maintenance, outages, or capacity issues
• a scan may fail, return nothing, or return less than a platform shows, because an account is age-restricted, hidden from signed-out visitors, private, deleted, or because our data provider itself failed for that account. The app tells you which of these happened, and tries again on the next daily scan
• a figure shown for an account is the figure the last successful scan returned, and may differ from what the platform shows at this moment

We will make reasonable efforts to restore functionality where possible, but we cannot guarantee uninterrupted service.

13. Disclaimer of Warranties

Statly is provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including but not limited to:

• fitness for a particular purpose
• merchantability
• non-infringement
• accuracy of analytics results, transcripts, or video descriptions
• uninterrupted or error-free operation
• guaranteed preservation of cloud-synced data

We do not guarantee that analytics results will be accurate, that data from the Supported Platforms will remain accessible, or that the extension will function indefinitely.

14. Limitation of Liability

To the fullest extent permitted by law, Miltiadis Themelis shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business opportunities, loss of data, or service interruptions arising from or related to the use or inability to use Statly.

Our total liability for any claim relating to the service shall not exceed the greater of (a) the amount paid by you for the service during the twelve (12) months preceding the claim, or (b) the minimum amount required by applicable law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including mandatory consumer protection rights and liability for death, personal injury, fraud, or gross negligence.

15. Indemnification

You agree to indemnify and hold harmless Miltiadis Themelis from any claims, liabilities, damages, or expenses arising from your use of Statly, your violation of these Terms, your misuse of exported or API-retrieved data, your sharing of licence keys with unauthorised parties, or your violation of third-party rights or applicable laws.

16. Termination

We reserve the right to suspend or terminate access to the service at any time if we believe a user has violated these Terms or used the service in a harmful or abusive manner. We may also modify, discontinue, or restrict access to any part of the service at any time.

17. Privacy

Your privacy is important to us. Our data processing practices are described in the Statly Privacy Policy, which forms part of these Terms.

18. Changes to These Terms

We may update these Terms from time to time. If changes are made, the updated version will include a revised Effective Date. Continued use of Statly after the updated Terms become effective constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Greece, without regard to conflict of law principles. This does not deprive you of the protection afforded by mandatory consumer protection provisions of the law of your country of residence.

20. Affiliate Program

Statly operates an affiliate program that allows individuals to earn commissions by referring new paid subscribers. Participation is subject to additional terms made available through the affiliate portal associated with the Statly Lemon Squeezy store. Miltiadis Themelis reserves the right to modify or discontinue the affiliate program at any time.

21. Chrome Web Store Compliance

Statly is distributed through the Google Chrome Web Store and must comply with the policies established by Google for Chrome extensions. By installing or using Statly, you agree that:

• your use of the extension must comply with all applicable Chrome Web Store policies
• you will not attempt to misuse, manipulate, or interfere with the operation of the extension within the Chrome browser environment
• you will not attempt to bypass any safeguards, security mechanisms, or usage limitations implemented within Statly

22. Public Data Use

Statly analyzes publicly available information that is already visible when viewing pages on the Supported Platforms. Statly does not access private accounts, bypass authentication mechanisms, access login credentials, or access private messages or restricted content.

In the extension, that reading is done by your own browser, in your own session, on pages you have opened.

In the web app, our servers do it, on a daily schedule, for the accounts you choose to track, and the results are stored for you. Everything collected is public content of public accounts. When you ask the web app to track an account you confirm that you are doing so for legitimate competitive or market research, and you remain responsible for what you then do with the data, as Section 10 sets out.

If you are a creator and you do not want Statly holding data about your public account, write to info@trystatly.com. We will delete what we hold about it and stop collecting, and we will not require you to be a customer to ask. The Privacy Policy, Section 11.3, explains how.

23. No Data Brokerage or Resale

Statly is designed primarily as a client-side analytics tool. We do not operate as a data broker and do not sell, rent, or commercially distribute user data from any Supported Platform. Analytics results generated through in-browser scanning are produced locally on your device from publicly visible page information. Any data processed through optional server-side features (such as the Statly API, cloud sync, the AI-assistant connection, bug reports, or rate-limiting systems) is handled only as described in our Privacy Policy and is not sold or shared for commercial purposes.

24. Fair Use and Abuse Prevention

To maintain a stable service for all users, Statly may enforce certain technical limitations, including but not limited to:

• scan limits for free-tier users
• licence verification for paid features
• network- and installation-based safeguards designed to detect and prevent abuse
• size and frequency limits on cloud-sync uploads

Users agree not to attempt to circumvent these limitations or otherwise interfere with the operation of the service.

25. Entire Agreement

These Terms, together with the Statly Privacy Policy, constitute the entire agreement between you and Miltiadis Themelis regarding the use of Statly and supersede any prior agreements or understandings.
